| Company Introduction | 公司是由北京奥福（临邑）精细陶瓷有限公司（以下简称“奥福有限”）整体变更设立的股份有限公司。奥福有限系由北京创导奥福科技发展有限公司（原名北京创导奥福精细陶瓷有限公司，以下简称“创导科技”）于2009年7月以货币资金出资设立的有限公司，并于2009年7月15日取得临邑县工商行政管理局核发的《企业法人营业执照》，注册号为371424200001389。2010年7月22日，奥福有限股东作出决定，将注册资本由300.00万元增至1,000万元，由创导科技以货币出资700万元，并将北京创导奥福（临邑）精细陶瓷有限公司更名为北京奥福（临邑）精细陶瓷有限公司；本次增资经德州大正有限责任会计师事务所临邑分所出具德大正临验变字[2010]第16号《验资报告》予以确认；奥福有限于2010年8月5日办理了工商变更登记手续，变更后的注册资本为1,000万元。2015年3月26日，奥福有限股东会作出决议，以截至2014年12月31日经审计的净资产折为50,000,000股，每股面值1元，整体变更设立股份公司；2015年3月28日，中审亚太会计师事务所（特殊普通合伙）对本次整体变更中各股东的出资进行了审验，并出具中审亚太验字（2015）010389号《验资报告》予以确认；公司于2015年3月30日办理了工商变更登记手续。2017年12月28日，德州市工商行政管理局办理了奥福环保工商变更登记手续，并换发了统一社会信用代码为91371400692032176X的《营业执照》。 公司专注于蜂窝陶瓷技术的研发与应用，以此为基础面向大气污染治理领域为客户提供蜂窝陶瓷系列产品及以蜂窝陶瓷为核心部件的工业废气处理设备。 公司生产的直通式载体、DPF 产品主要应用于柴油车尤其重型柴油车尾气处理，VOCs 废气处理设备主要应用于石化、印刷、医药、电子等行业挥发性有机物的处理。大气污染严重影响着人民的身体健康和生活品质，近些年来越来越受到党和国家政府的重视。 党的十九大报告提出，坚持全民共治、源头防治，持续实施大气污染防治行动，打赢蓝天保卫战， 污染防治已上升为国家战略并被列入“十三五”三大攻坚战。根据生态环境部公布的《中国机动车环境管理年报（2018）》，我国的大气污染主要来源于机动车排放尤其柴油车尾气和工业废气排放， 柴油车氮氧化物（NOx）和颗粒物（PM）排放量分别占汽车排放量的 68.30%、99.00%以上，而重型柴油货车氮氧化物（NOx）和颗粒物（PM）的排放量占柴油车排放量的比重高达 67.22%和 59.84%。本公司深刻领会党和国家战略要求，服务于国家重大战略需求，以柴油车尾气处理和工业废气治理为技术研发和经营发展方向，重点研发并产业化柴油车尾气处理核心部件——大尺寸蜂窝陶瓷载体，打破多年来国外厂商对大尺寸蜂窝陶瓷载体制造技术的垄断，填补了国内空白。主要产品包括蜂窝陶瓷系列产品和 VOCs 废气处理设备。 | ||||||||||||||||||||||||
